Item 5.02 – Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 12, 2007, Ronald L. Scarboro notified The TriZetto Group, Inc. (the “Company”) that he intends to resign from his position as Vice President, Financial Accounting and Corporate Services and Principal Accounting Officer effective as of October 31, 2007. Mr. Scarboro is resigning for personal reasons and not as a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

Mr. Scarboro was appointed Principal Accounting Officer on July 25, 2007 to assist with the transition of the Chief Financial Officer position from James C. Malone to Robert G. Barbieri. Mr. Barbieri, who was appointed as the Company’s Chief Financial Officer on August 13, 2007, will assume the role of Principal Accounting Officer.
