(1)	The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $4.80 to $4.90, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in this footnote.

Remarks: This amendment to the Form 4 filed by the Reporting Person is being filed to correct the ownership form, which was originally reported incorrectly as direct. This error also affected the Form 4's filed by the Reporting Person on March 15, 2013, March 3, 2015, September 10 ,2019 and February 27, 2020, as this ownership was shown as a direct ownership on these filings.
