Explanation of Responses:
(1)	Each restricted stock unit represents a contingent right to receive one share of SMCI common stock.
(2)	On November 5, 2020, in connection with the Reporting Person's appointment to the Board and pursuant to SMCI's director compensation policy, restricted stock units were granted with respect to Board service which were pro-rated for fiscal 2021. Subject generally to the Reporting Person's continued service to SMCI, the total number of restricted stock units shall fully vest on June 30, 2021. Vested units are settled in shares of common stock.
