Item 8.01 Other Events

On February 25, 2020 the Board of Directors of Standard AVB Financial Corp. (the “Company”) amended and restated the Company’s Amended and Restated Bylaws, effective as of February 25, 2020. Article II, Section 13 of the Amended and Restated Bylaws was amended to provide that a director of the Company who reaches age 77 may not be nominated or elected to the Board of Directors for an additional term and must retire from the Board effective as of the date of the annual meeting of the Company’s stockholders immediately following the date on which the director turns 77. Previously, the age used for this provision was 75.

A copy of the Amended and Restated Bylaws is attached hereto as Exhibit 3.2 and is incorporated herein by reference.
