Regulation FD Disclosure.

The Company issued a press release on October 10, 2023 announcing that its Board of Directors declared a quarterly dividend of $0.025 per share of common stock outstanding. The dividend will be paid on November 22, 2023 to stockholders of record as of the close of business on November 1, 2023. A copy of the press release is included as Exhibit 99.1 hereto and incorporated by reference.
