Explanation of Responses:
(1)	This transaction involved a gift of the Issuer's Class A Common Stock by the reporting person to her spouse. The reporting person disclaims beneficial ownership of the shares, and this report should not be deemed an admission that the reporting person is the beneficial owner of her spouse's shares for purposes of Section 16 or for any other purpose.
(2)	On December 6, 2021, the reporting person's spouse contributed 136,946 shares of the Issuer's Class A Common Stock to the Phelim Dolan Irrevocable Grantor Trust, Lauren Zalaznick sole beneficiary and Co-Trustee.
(3)	The reporting person is the sole beneficiary and Co-Trustee of the Phelim Dolan Irrevocable Grantor Trust, Lauren Zalaznick sole beneficiary and Co-Trustee.
