Item 2.02 Results of Operations and Financial Condition.

On March 10, 2022, DocuSign, Inc. (the "Company") reported financial results for the three months and the fiscal year ended January 31, 2022. A copy of the press release is furnished as Exhibit 99.1 to this report and incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 7, 2022, Loren Alhadeff, the Company’s Chief Revenue Officer, notified the Company of his intention to resign. The effective date of Mr. Alhadeff’s resignation has not been finalized but is expected to occur before the end of the current fiscal year, in connection with the transition of Mr. Alhadeff’s responsibilities to a new global leader of the Company’s sales and customer success functions.

Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On March 4, 2022, the Company's Board of Directors amended the Company’s Amended and Restated Bylaws (as so amended and restated, the “Restated Bylaws”) to, among other things, add specific director confidentiality and emergency bylaws provisions. The Restated Bylaws were effective immediately upon approval by the Board.
