Explanation of Responses:
(1)	Number of Performance Share Units ("PSU") awarded on 5/28/2020 pursuant to the completion of the performance goals set forth in the Company's 2017 Long Term Incentive Plan. The PSUs will continue to time vest through 1/1/2021 and then subject to a mandatory two-year hold period ending on 1/1/2023.
(2)	Number of Performance Share Units ("PSU") awarded on 5/28/2020 pursuant to the completion of the performance goals set forth in the Company's 2018 Long Term Incentive Plan. The PSUs will continue to time vest through 1/1/2022 and then subject to a mandatory two-year hold period ending on 1/1/2024.
(3)	Number of Performance Share Units ("PSU") awarded on 5/28/2020 pursuant to the completion of the performance goals set forth in the Company's 2019 Long Term Incentive Plan. The PSUs will continue to time vest through 1/1/2023 and then subject to a mandatory two-year hold period ending on 1/1/2025.
(4)	Number of time vested Restricted Share Units ("RSU") awarded on 5/28/2020. The awards will cliff vest on 5/28/2023.
