( 1)	The reporting person acquired the shares of Access National Corporation ("Access") on April 1, 2017, in exchange for shares of the common stock of Middleburg Financial Corporation ("Middleburg"), pursuant to the Agreement and Plan of Reorganization, dated as of October 21, 2016, between Access and Middleburg, pursuant to which Middleburg will merge with and into Access.
