                     TRAFFICMASTER - SETTLEMENT OF US BONDS



23 January 2004, Bedfordshire, UK: Trafficmaster Plc announces that it has
reached agreement with bond holders and settled the amount due under the Bonds
held by its US subsidiary, Teletrac Inc, for a total consideration of $12m
(including accrued interest).


The Bonds had a face value of $15m.  The cash used to settle the bonds came from
existing resources including the proceeds from the recent placing.
