    SAN MATEO, Calif.--(BUSINESS WIRE)--April 10, 2003--

Franklin Resources Inc. (NYSE: BEN) announced today that it intends to
pay the purchase price in cash for any of its Liquid Yield
Option(R)Notes due May 11, 2031 ("Lyons") that may be tendered for
purchase on May 11, 2003 pursuant to options held by the note holders.
The Lyons were issued on May 11, 2001 and allow the holders to require
Franklin Resources, Inc. to purchase all or a portion of their
holdings on the two, three- and five-year anniversaries of their
issuance and every five years thereafter. Franklin Resources, Inc. has
the option to pay for any tendered Lyons with cash or shares of
Franklin Resources, Inc. common stock. Franklin Resources, Inc.
notified the Lyons' holders today of its decision to pay cash for any
Lyons that are purchased on May 11, 2003. If all of the Lyons were
tendered, the total price payable by Franklin Resources, Inc. would be
approximately $520.1 million.
