On January 11, 2024, ElectraMeccanica Vehicles Corp. (“ElectraMeccanica”) and Xos, Inc. (“Xos”) announced entry into an arrangement agreement, pursuant to which Xos will acquire all of the issued and outstanding common shares of ElectraMeccanica pursuant to a plan of arrangement under the Business Corporations Act (British Columbia).

 

This Schedule 14A filing consists of a blog post that was added to the ElectraMeccanica microsite for the proposed transaction on March 7, 2024.

 

Xos Total Cost of Ownership

 

Earlier this week, we explored how current and anticipated state and federal incentives for zero-emission commercial vehicles potentially support Xos’ growing business. In addition to strong regulatory tailwinds, another reason we believe our proposed combination with Xos has the potential to drive long-term value for our shareholders is our belief that Xos commercial electric vehicles have an overall total cost of ownership (“TCO”) advantage compared to Diesel trucks and Freightliner EVs.

 

TCO is a top consideration for commercial fleet operators when purchasing vehicles. In a previous post reviewing Xos customer testimonials, Xos’ top-tier customers, including UniFirst and Alsco, dive into the positive impact Xos electric commercial vehicles have on their bottom line. The key point: they believe Xos’ proprietary technology saves fleets money.

 

The total cost of ownership over 300,000 miles (based on the purchase price, energy/fuel and maintenance spend) for an Xos electric stepvan is an estimated $186,000. Meanwhile, on a comparable basis, we estimate Diesel trucks cost fleet owners $232,000, and Freightliner EVs cost fleet owners approximately $270,000.1

 

More specifically, we believe that Xos electric stepvans can offer fleet operators an 80% reduction in energy costs and up to a 40% reduction in scheduled maintenance. We also believe Xos’ vehicles can accelerate TCO savings compared with diesel alternatives within 12 months of purchase.

 

With the additional potential benefit of government subsidies and other incentives, these cost advantages can become quite significant. Compared to similarly equipped delivery vehicles, the 2023 Xos Stepvan is projected, over time, to deliver savings of approximately 30-40% in specified markets.2

 

Combined with factors like Xos’ already-positive gross-margin economics and federal and state regulatory tailwinds, we believe the TCO advantages better position Xos for achieving profitability. Be sure to visit the Market Page on our microsite to learn more about Xos’ TCO advantage.
