1. Represents the award of restricted share units ("RSUs") which will vest one-half on each of the first two anniversaries following the date of grant, subject to the reporting person's continued service. Vested RSUs are settled in common shares, no par value, of the Issuer ("Common Shares").

2. This number represents common shares, no par value, of the Issuer withheld to satisfy the tax withholding obligations due upon vesting of Restricted Share Units.
