ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On February 29, 2024, Inuvo, Inc. issued a press release regarding financial performance for Q4 and full-year 2023. A copy of the earnings release is being furnished herewith as Exhibit 99.1.

On February 29, 2024, the Company held a management conference call to discuss the Company's financial results for Q4 and full-year 2023, the outlook of the Company and certain other matters.
