Item 8.01 Other Events.

On November 9, 2023, the Board of Directors of LightPath Technologies, Inc. (the “Company”) approved the postponement of the Company’s 2023 Annual Meeting of Stockholders (the “Annual Meeting”), previously scheduled for Thursday, November 16, 2023. The Company’s Stockholders will be notified of the exact date, time, and location of the rescheduled Annual Meeting at a later date.

The press release announcing the postponement of the Annual Meeting is filed as Exhibit 99.1 to this Current Report on Form 8-K.
