Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 9, 2023, the Compensation Committee of the Board of Directors of Mettler-Toledo International Inc. (the “Company”) determined to grant a one-time incentive equity award to the Company’s Chief Executive Officer, Mr. Patrick Kaltenbach. Mr. Kaltenbach received nine hundred seventy-six restricted stock units that will vest over a three-year period, with one-third of the grant vesting annually on each of the first three anniversaries of the grant date, and up to three thousand seven hundred fifty-six performance-based stock options that will be eligible to vest on the fourth anniversary of the grant date based on the Company’s level of achievement of certain performance metrics measured over a four-year period.
