Explanatory Note

This Current Report on Form 8-K/A (this “Amendment”) amends the Current Report on Form 8-K filed by Universal Insurance Holdings, Inc. (the “Company”) on June 13, 2023 (the “Initial Form 8-K”). The Initial Form 8-K was filed to report the results of the Company’s 2023 Annual Meeting of Shareholders held on June 8, 2023 (the “2023 Annual Meeting”). The sole purpose of this Amendment is to disclose, in accordance with Item 5.07(d) of Form 8-K, the Company’s decision as to the frequency of future shareholder advisory votes on named executive officers’ compensation (i.e., “say on pay” votes).

Item 5.07 Submission of Matters to a Vote of Security Holders

Consistent with the recommendation of the Company’s Board of Directors (the “Board”) as set forth in the Company’s proxy statement for the 2023 Annual Meeting, a majority of shares cast at the 2023 Annual Meeting voted in favor conducting “say on pay” votes on an annual basis. In light of this result and in accordance with the Board’s recommendation, the Board has determined that the Company will conduct “say on pay” votes on an annual basis until the next required shareholder advisory vote regarding the frequency of such votes in 2029.
