Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
Pursuant to the authorization
and approval previously provided by the stockholders of Auto Parts 4Less Group, Inc., a Nevada corporation (the “Company”),
the Company filed a Certificate of Amendment to its Articles of Incorporation with the Secretary of State of Nevada to increase its authorized
shares, $0.000001 par value per share, from 75,000,000 shares to 500,000,000 shares, which filing became effective on October 20, 2023
(the “Amendment”). A copy of the Amendment is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated
into this Item 5.03 by reference.
