Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 5, 2023, R. Todd Davis notified Hallador Energy Company (the “Company) of his resignation as Chief Accounting Officer of the Company, to be effective on December 1, 2023. Mr. Davis will assist in the transition of the Chief Accounting Officer role until his departure from the Company. Mr. Davis’s decision was not related to any disagreements with the Company or its management on any matters relating to the Company’s operations, policies, or practices.
