The Registrant is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2023 within the prescribed time period without unreasonable effort or expense because the Company has not completed the preparation of its unaudited financial statements for the fiscal quarter, including the review of such financials by its independent registered public accounting firm.
