Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 4, 2023, Fossil Group, Inc. (the “Company”) informed Mr. Greg A. McKelvey, Executive Vice President, Chief Commercial Officer, that his position with the Company was being eliminated in connection with the Company’s ongoing Transform and Grow strategy. Mr. McKelvey will remain employed with the Company through August 11, 2023. Mr. McKelvey’s responsibilities will be assumed by other executive officers at the Company.

Mr. McKelvey had previously entered into an Executive Severance Agreement with the Company (the “Agreement”) and will receive certain payments and benefits in connection with a termination of service without cause under the Agreement.
