Item 1.03

Bankruptcy or Receivership.

On July 3, 2023, a director of OPTILAN (UK) LIMITED (“Optilan”) received a letter from The Insolvency Service, an executive agency sponsored by the Department for Business and Trade located in the U.K. Pursuant to the letter, the director was informed that, on June 28, 2023, the court made a winding-up order against Optilan and that an official receiver has been appointed as liquidator to manage the winding-up.

Optilan is a wholly-owned subsidiary of OPTILAN HOLDCO 3 LIMITED which is a wholly-owned subsidiary of DarkPulse, Inc., a Delaware corporation (the “Company”).

None of the Company’s other subsidiaries are affected by the winding-up order against Optilan. The winding-up order was made on an involuntary basis against Optilan.
