Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective February 05, 2019, the Board of Directors of the Company appointed David Neiss, age 40__, director of the Company until the next regular meeting of shareholders or until her successor is elected and qualified.

David was born and raised just north of New York City in the Riverdale section of the Bronx. Growing up with 3 brothers, David spent his free time playing all kinds of sports but always kept one eye on financial markets. He attended St Syms School of Business where he graduated with a Bachelor of Science in Accounting. While in school, David played 4 years of NCAA basketball and golf. He was President of the business school during his senior year as well.

After graduating, he started his professional career working at Sempra Energy Trading in Stamford, Connecticut. After being at Sempra for 7 years, David continued his career working for JP Morgan Chase within the commodity division. Most recently, he was at BNP Paribas since 2012 being a key component in their Energy division.
