Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 1, 2017, George Hogan informed WEX Inc. (“WEX”) that he is retiring from WEX. In conjunction with that retirement, Mr. Hogan resigned his role as WEX’s Senior Vice President, International, effective as of December 1, 2017. Mr. Hogan will remain employed by WEX in a non-executive officer capacity until April 1, 2018. Mr. Hogan’s responsibilities have been allocated amongst other members of WEX’s executive management.
