Avianca Holdings S.A. enters into an Investment Agreement with Servicios

Aeroportuarios Integrados SAI S.A.S.

Avianca Holdings S.A. informs that today it entered into an Investment Agreement with Servicios Aeroportuarios Integrados SAI S.A.S., pursuant to which Avianca Holdings shall make an investment in Servicios Aeroportuarios Integrados SAI S.A.S. In addition, the agreement sets forth the rest of the commercial terms that will govern the relations between Avianca Holdings, Aerovias de Continente Americano S.A. and Servicios Aeroportuarios Integrados SAI S.A.S.

Once the conditions set forth in the agreement are fulfilled, Avianca Holdings will acquire newly issued shares from Servicios Aeroportuarios Integrados SAI and, as a consequence, acquire control over it. We will inform of any further developments regarding this transaction as required by applicable law.
