Director appointment
William Hill PLC (LSE: WMH) (William Hill) announces the
appointment of Jane Hanson as an Independent Non-Executive Director
to its Board of Directors with effect from 1 July 2019. On joining
the Board, Jane will become a member of the Board's Nomination and
Audit and Risk Management Committees.
Jane is a Non-executive Director and Chair of the Board Risk
Committee of Direct Line Insurance Group plc ((LSE:DLG), an
insurance company with multiple brands, products and distribution
channels across motor, home, rescue and commercial insurance. She
is also Chairman of The Reclaim Fund Ltd; Honorary Treasurer and
Trustee of the Disasters Emergency Committee; and Independent
Member of the Fairness Committee at ReAssure Ltd.
Jane brings extensive expertise in risk management and corporate
governance in highly regulated environments. She has deep knowledge
of developing and monitoring consumer-centric and conduct risk
frameworks and has also overseen major IT and transformation
programmes. Jane has previously held a number of executive roles,
including Director of Audit, and Risk and Governance Director, at
Aviva plc. She is a Fellow of the Institute of Chartered
Accountants in England and Wales and is also a Magistrate.

Following the appointment of Jane Hanson to the Audit and Risk
Management Committee, Gordon Wilson will step down from the
Committee with effect from 1 July 2019.

1. Fees:
Jane Hanson
As Non-executive Director of William Hill PLC, Jane Hanson will
receive standard annual fees of GBP55,000 per annum.
2. The Board has determined that Jane Hanson will be an
independent Non-executive Director, in accordance with the UK
Corporate Governance Code.
3. In accordance with obligations under Listing Rule 9.6.13R,
Jane Hanson holds the following directorships of a publicly quoted
company in the previous five years:
-- Jane Hanson was appointed to the board of Direct Line
Insurance Group plc in December 2011. Direct Line was listed on the
London Stock Exchange on 30 April 2012.
The Company confirms there are no other disclosures which
require to be made in accordance with LR 9.6.13R.
