Vocalis Group plc (the "Company")

Substantial shareholding

The Company was notified on 20 August 1999 that Prelude Technology Fund II
Limited Partnership sold 1,000,000 ordinary shares of 5p each in the Company
at 116p per ordinary share.  Following this transaction Prelude Technology
Fund II Limited Partnership is interested in 2,345,198 ordinary shares,
representing 5.4 per cent. of the Company's issued share capital.  

Dr Robert Hook, a non-executive director of the Company, is a director of
Prelude Technology II Limited, the general partner of Prelude Technology Fund
II Limited Partnership.
