RNS No 2208m
DRINGS OF BATH PLC
21 September 1998

On 7th August 1998, Drings announced that it had signed heads of agreement with
Ennstone Plc ("Ennstone") in relation to the proposed "reverse" of Ennstone's
natural stone and concrete products business into Drings. Following further
discussions between the parties, the transaction has been restructured by way of
the acquisition by a specially formed subsidiary of Ennstone of Dring's Blue
Pennant stone processing business.

Under the terms of the new agreement which was completed on 18 September 1998,
Natural Building Materials Plc, a wholly-owned subsidiary of Ennstone, agreed to
buy the undertaking and assets of the Blue Pennant stone processing business
from Drings for a cash consideration of #750,000 and the assumption of
liabilities having a value of approximately #250,000.

The cash element of the consideration will be applied to the working capital
requirements of Drings.

The Directors believe the terms of this transaction are such as to allow Drings
to continue operations.

The assets and liabilities acquired by Natural Building Materials Plc were
carried at an aggregate net book value of #531,000 by Drings. There are no
audited accounts from which it is possible to ascertain the net profits
attributable to the Blue Pennant business.

Anthony Allsop, a Drings Director who is also an employee of Ennstone, took no
part in the negotiation of the transaction or its approval by the Drings board.
Mr Allsop resigned today as a Director of Drings.
