DRINGS OF BATH PLC

Drings of Bath PLC yesterday acquired from Mr Peter Carroll, the premises from
which its subsidiary, Capital Masonry Company Limited, operates from in
Corsham for a cash consideration of #275,000.  The business carried on at
these premises by Capital is the production and sale of cut and crafted
dimensional stone primarily for the construction industry.

In addition, the Company purchased plant and machinery from Mr Carroll for a
consideration of #45,000 cash and the issue of 400 shares in Capital at an
issue price of #400 on 20th August 1997.

The Company entered into a put and call option on 20th August 1997 with Mr
Carroll whereby the Company may require Mr Carroll to exchange his shares in
Capital for up to 8,543,200 new Ordinary Shares issued as fully paid in the
Company at any time up to 30 April 2002.  In turn Mr Carroll will be able to
exercise 133 shares in Capital for 2,840,614 shares in the Company after 30th
April 1998 conditional upon an agreed list of customers plus any new customers
introduced by Mr Carroll providing revenues to the Group of #750,000 in the
period ended 30th April 1998.  The balance of Capital shares will be capable
of being exercised after 30th April 1999 but no later than 30th April 2002
conditional upon an agreed list of customers plus any new customers or Mr
Carroll providing revenues to an average of #750,000 per annum over a two year
period ending on that date.  The Option shall be capable of being exercised
before 30th April 1999 by Mr Carroll in the event that any person takes
control of the Company as a result of making a general offer.

Mr Trevor Dring sold on 19th August 1997 13,312,500 shares in the Company at a
price of 1.75 pence each representing 17.35% of the existing share capital to
Union Pension Trustees Limited.
