In accordance with Disclosure and Transparency Rule 5.6.1, the
Company confirms that its capital consists of 107,848,361 ordinary
shares of 22(6) /(67) pence each with voting rights (the "Shares").
No shares are held in treasury.
Shareholders may use the 107,848,361 Shares as the denominator
for the calculation by which they will determine if they are
