              Acquisition of Passolo for Euro2 million (#1.36million)

       Strengthening of product set with software translation technology



Maidenhead, UK - 19 June, 2007.  SDL International, one of the leading providers
of Global Information Management (GIM) solutions, announced today that it has
acquired PASS Process Automation Software Systems Engineering GmbH ("Passolo"),
a provider of sophisticated software translation products.



Under the terms of the agreement, SDL will pay Euro2 million (#1.36 million)*, for
Passolo, of which Euro1 million will be in cash and the balance represented by the
issue of up to 160,728 shares in SDL plc. 32,146 shares are being issued at
closing with the balance of the share consideration (the "deferred shares") to
be issued in amounts of 32,146, 48,218 and 48,218 respectively on the first
three anniversaries of the acquisition date.  The release of these deferred
shares will be subject to the two Passolo shareholders remaining in the
employment of the SDL group.



SDL's acquisition of Passolo will further strengthen SDL's Global Information
Management offering by adding a leading software localisation product to the SDL
solutions portfolio.  Passolo's technology allows for the easy translation of
the user interface of software products based on Microsoft .NET, which many
companies use to deliver web-based applications to their customers.  The
integration of the Passolo product set into SDL's Translation Management System
will allow customers to access existing Translation Memories and corporate
Terminology

consistency of deliverables."
