                  Reed Health Group plc (the "Company")



The Company has been informed on 13 May 2004 that Schroder Investment Management
Limited (SIML) have an interest in 9,879,035 A Shares of 2p each ("A Shares") in
the Company, which are held in portfolios managed on a discretionary basis for
clients under investment management agreements.



Included in the above figure are:

         i.      5,944,481 A Shares held in (a) unit trust(s) operated and
managed by an affiliated company, Schroder Unit Trusts Limited (SUTL), and
registered in the name of Chase Nominees Limited;



       ii.      400,000 A Shares registered or to be registered in the name of
SIML wholly-owned subsidiary nominee company, Schroder Nominees Limited
(Schroder Nominees);



      iii.      3,534,554 A Shares neither registered nor to be registered in
the name of Schroder Nominees.  The registration details are as follows:

An affiliated company, Schroder Investment Management North America Inc (SIMNA
Inc), is managing a portfolio holding a further 984,540 A Shares. These shares
are registered or to be registered in the name of Chase Nominees Limited.



As a consequence SIML, its subsidiaries and affiliated companies have an
interest in an overall aggregate of 10,863,575 A Shares representing
approximately 29.04% of the total number A Shares currently in issue. In
addition the Company has 22,241,400 B shares in issue resulting in SIML, its
subsidiaries and affiliated companies having an interest representing 18.21% of
the total issued share capital of the Company



The notification received by the company is given:

(a)     in respect of SIML's interest as investment managers,

(b)     on behalf of SIMNA Inc and SUTL in relation to the interests they are
treated as having respectively under the Companies Act 1985 (the "Act"), and

(c)     on behalf of Schroders plc, which is treated as having an interest in
all of the above shares under the Act by virtue of its ownership of SIMNA Inc,
SUTL and SIML.
