Additional Listing

As part of the deferred consideration to the vendors of Speirs & Jeffrey, Rathbones is pleased to announce the issuance of 229,489 new ordinary shares following the crystallisation of the second tranche of the Earn-out Consideration.

Applications have been made to the FCA and the London Stock Exchange for 229,489 new ordinary shares, being the Deferred Consideration Shares, to be admitted to the premium listing segment of the Official List and to trading on the Main Market (together, Admission"). It is expected that Admission of the Earn-out Consideration Shares will become effective and dealings will commence at 8.00 a.m. on 30 March 2022. The 229,489 new ordinary shares will rank pari passu with the existing issued shares of Rathbones.

Following Admission of the Deferred Consideration Shares, Rathbones will have 62,278,463 ordinary shares of 5p each in issue. This number represents the total voting rights in the Company and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
