On 10 April 2012, Jeff Vernon, a PDMR, exercised options over Rathbone Brothers 
Plc Ordinary Shares of 5p granted under the Rathbone Executive Share Option 
Scheme 2000. The market value at exercise was  GBP12.65 being the closing mid 
market price on 5 April 2012. The shares allotted were registered in the name of 
Rathbone Nominees Limited.  The shares were sold on 10 April 2012 at  GBP12.5096. 
 
On 11 April 2012, Mr. Vernon's spouse sold 3,550 shares at  GBP12.40. Following 
these transactions, his holding is 2,439 shares (0.006% of the total voting 
rights).
