Parkwood  Holdings  plc announces that  the  Parkwood  Group
Trustees  Limited, the corporate trustee  for  the  Parkwood
Group  Employee  Benefit Trust, transferred 66,000  ordinary
shares  (representing 0.3 per cent. of the Company's  issued
share capital) in Parkwood Holdings plc to employees under a
Group  wide  staff  loyalty scheme on 9 January  2001.   The
shares  were  transferred free of charge  to  the  employees
concerned.  As a result of this transaction, Parkwood  Group
Trustees  Limited  now  holds  934,000  shares  in  Parkwood
Holdings  plc,  representing 4.36% of  the  issued  ordinary
shares capital.

A G Holt, a Group Director, received 1,000 shares under this
arrangement,  thereby increasing his shareholding  to  5,616
Ordinary  shares, representing 0.03% of the issued  ordinary
share capital.
