Exchange for 690,512 ordinary shares of 25p each to be admitted to the Official
List.

These shares, ranking pari passu in all respects with the existing shares in
issue, have been allotted pursuant to the conversion of #172,628 nominal of 12%
Convertible Unsecured Loan Stock and to the rules of the Trust Deed
