                             Disclosure of Interest


Following the announcement made earlier today, Watermark Group plc has received
further notification that Oryx International Growth Fund Limited, following the
purchase of 840,000 ordinary 1p shares in the Company ("Ordinary Shares"), now
has a notifiable interest of 2,240,000 Ordinary Shares, which represents 5.03%
of the Company's issued ordinary share capital. The shares are held in the name
of HSBC Security Services (Guernsey) Limited. The current number of Ordinary
Shares in issue is 44,573,817.
