Matrix Communications Group plc notes recent press speculation and confirms
that it has signed heads of agreement that may or may not lead to the
acquisition of Equip Technology Ltd (Equip). Equip is a profitable distributor
of network security products and is currently Juniper Network's Inc largest
European partner.

The successful completion of this and the possible acquisition of Harrier Group
plc would complete the Group's current acquisition strategy.
