                   Annual and Extraordinary General Meetings


At the Company's annual general meeting held today, Group Managing Director Paul
Sellars made the following comments:

"As outlined in the trading update dated 19 February, the effects of the
management changes which have been implemented should result in an improvement
in the contribution from the Construction Division for the current year, with a
particularly encouraging outlook for 2005. We have a very clear strategy in
place for taking the business forward, supported by all our shareholders.


"The Company has strong cash reserves and we are making good progress towards
resolving the pension issue. We are confident this year will be a positive step
forward in the Group's development as a focussed construction business."


During the meeting, the Chairman, Cedric Scroggs, announced that the Deputy
Chairman of Montpellier, Mr Peter Gyllenhammar, of Browallia, had resigned from
the Board today. Mr Scroggs said he had also decided not to offer himself for
re-election having retired by rotation.


The Board will appoint a new Chairman in due course.


All items of ordinary business at the AGM were approved unanimously on a show of
hands. However, two special resolutions (in standard form authorising the
Directors to issue and allot shares) were not approved following a poll vote
demanded by Browallia, a major shareholder.


At the Company's extraordinary general meeting, also held today, the two
ordinary resolutions in respect of new share option schemes were passed
unanimously.



Paul Sellars also commented:

"Cedric Scroggs joined the Board of our predecessor company Y.J.Lovell Holdings
as a Non-Executive Director in 1990, and was appointed Chairman in March 1999.
Under his chairmanship, the Group has cleared its debts, re-introduced a
dividend, and seen its share price almost quadruple from 10p to the current 38p.
The Board is grateful for his contribution to the affairs of the Group over many
years."
