Recommended cash acquisition
of
all of the issued and to be issued share capital of
MCB Finance Group plc
by
International Personal Finance plc
to be effected by means of a Scheme of Arrangement under Part 26
of the Companies Act 2006
Result of Court Hearing to sanction the Scheme
MCB Finance Group plc (MCB) is pleased to announce that at the
First Court Hearing earlier today the Court gave its approval to
the Scheme.
Next Steps and Expected Timetable
Completion of the Acquisition remains subject to the
satisfaction or waiver of the remaining Conditions set out in the
Scheme Document, including the Court confirmation of the Reduction
of Capital which is associated with the Scheme. The expected date
for the Second Court Hearing, for the purpose of obtaining this
confirmation, is 6 February 2015.
On the basis of the current timetable for the Acquisition, and
assuming that the Court confirms the Reduction of Capital, the last
day of dealings in, and for registration of transfers of, MCB
Shares will be 5 February 2015. At 7.30am on 6 February 2015, MCB
Shares will be suspended pending the Scheme becoming effective, in
accordance with its terms, which is expected to occur on 6 February
2015. On the basis of this timetable, the admission to trading on
AIM of the MCB Shares will be cancelled with effect from no later
than 7.00am on 9 February 2015.
The Acquisition is conditional upon the Scheme becoming
effective by no later than the Long Stop Date, or such later date
(if any) as MCB and IPF may agree, with the consent of the Panel
and (if required) the Court.

Disclosure requirements of the Code
Under Rule 8.3(a) of the Code, any person who is interested in 1
per cent. or more of any class of relevant securities of an offeree
company or of any securities exchange offeror (being any offeror
other than an offeror in respect of which it has been announced
that its offer is, or is likely to be, solely in cash) must make an
Opening Position Disclosure following the commencement of the offer
period and, if later, following the announcement in which any
securities exchange offeror is first identified. An Opening
Position Disclosure must contain details of the person's interests
