Central China Goldfields plc (the 'Company')                  

                             Exercise of Warrants                              

London, 12 October 2006

Central China Goldfields plc (the "Company") has received notifications of the
exercise of 500,584 warrants to subscribe for new ordinary shares (the "New
Shares") at an exercise price of 10p per share.

The New Shares will be issued and allotted and they will rank pari passu with
the existing ordinary shares of 1p each in the Company ("Ordinary Shares").
Trading of the New Shares on AIM is expected to commence on 18 October 2006.

The total number of Ordinary Shares in issue following this exercise of
warrants will be 82,009,025.

The total number of 10p warrants exercisable up to 30 April 2007 is 8,053,237.
