                             Exercise of Warrants                              

27 February 2006

Central China Goldfields plc (the 'Company') today announces that it has issued
and allotted 15,000 Ordinary Shares of 1p each, at a price of 8p per share,
pursuant to an exercise of warrants.

The shares will rank pari passu with the existing Ordinary Shares of 1p each in
the Company. Application has been made for these shares to be admitted to
trading on AIM and dealings are expected to commence on Friday 3rd March 2006.

The total number of shares in issue following this exercise of warrants is
52,684,500.

The total number of tradeable warrants (AIM:GGGW) in issue following this
exercise of warrants is 31,557,500

The total number of 10p warrants exercisable up to 30 April 2007 is 11,250.
