LOUISVILLE, Colo., Nov. 4 /PRNewswire-FirstCall/ -- Renaissance Entertainment Corporation (OTC:FAIR) announced today that the Board of Directors has unanimously approved a Reorganization Agreement and Plan of Merger with Knight Acquisition Corporation, a subsidiary of Ellora Entertainment, LLC. The result of this agreement would be the purchase of all outstanding shares of REC's common stock held by non-affiliates at $0.03/share. Given the Company's need for additional working capital, the Board of Directors recommended that the Reorganization Agreement be approved. The Reorganization Agreement is subject to stockholder approval. A special meeting of the stockholders is scheduled for December 15, 2005 to vote on the agreement.
