Under the requirements of the Companies Acts 1985 and 1989, we wish to inform
you of a decrease in the notifiable interest in Dewhurst plc shares of the
following shareholder.

          Landfinance Limited BVI (a British Virgin Islands Corporation)

          Number of Shares:   Decreased from 193,500 (5.14%) to 64,500 (1.71%)

          Type of Shares:     Dewhurst plc Ordinary 10p Shares

As the shareholding is now less than 3% Landfinance Limited confirmed that in
accordance with Part VI of the Companies Act 1985 and mofified by section 134 of
Part V of Companies Act 1989 that they no longer hold a disclosable shareholding
in the company.

The above information has been notified to us today, 1st March 1999, by Astaire
