The  directors of Downing Healthcare Protected  VCT  PLC  (the
"Company") announce that the Company has purchased a total  of
2,000 ordinary shares of 50p each for cancellation.  1,000  of
these  shares were purchased on 12 July 1999 at 75p and  1,000
were purchased on 13 July 1999 at 85p.
