In  conformity with the Disclosure and Transparency Rule 5.6.1, Downing Absolute 
Income VCT 2 plc announces the following: 
 
The Company's capital at 29 February 2012 consisted of: 
19,932,658 Ordinary Shares of 0.1 pence each; and 
29,939,445 A Shares of 0.1 pence each. 
 
The Company does not hold any shares in treasury. 
 
Each of the Ordinary Shares has 1,000 votes and each of the A Shares has 1 vote. 
 
Therefore,  the total number of voting rights  in Downing Absolute Income VCT 2 
plc is 19,962,597,445. 
 
The  above takes account of  any shares that have  been recently bought back for 
cancellation, even if such transactions have not yet settled. 
 
The  above  figure  may  be  used  by  shareholders  as  the denominator for the 
calculations  by which they will determine if  they are required to notify their 
interest in, or a change to their interest in, Downing Absolute Income VCT 2 plc
