                              Total Voting Rights


In conformity with the Transparency Directive's transitional provision 6, the
Board of Croma Group plc would like to  notify the market of the following:

As at 13 December 2006, the issued share capital and voting rights of Croma
Group plc are as follows:

Croma Group plc share capital consists of 148,226,741 Ordinary 5p shares with
voting rights attached (one vote per  Ordinary share). Therefore the total
number of voting rights in Croma Group plc is 148,226,741.  There are no shares 
held in treasury.

The above total voting rights figure may be used by Croma Group plc shareholders
as the denominator for the  calculations by which they will determine whether
they are required to notify their interests in, or a change to their  interest
in, under the FSA's Disclosure and Transparency Rules.
