                   CLS Holdings plc ("CLS" or "the Company")

Proposed purchase of up to 2,481,660 ordinary shares of 25p each in the Company
       ("Ordinary Shares") by way of a tender offer (the "Tender Offer")

                          Closure of the Tender Offer


The board of CLS is pleased to confirm that the Company's recent Tender Offer,
as described in the Tender Offer document dated 19 April 2002, is now closed,
having received acceptance for the Tender Offer in full by its shareholders.
CLS's issued share capital following cancellation of 2,481,660 Ordinary Shares
under the Tender Offer will stand at 96,789,740 Ordinary Shares.
