    Cedardata gains exclusive agreement to distribute
                    COI Businessflow

Cedardata  Plc, the leading software developer, announces
today that it has  successfully concluded negotiations to
gain  the  world-wide trade mark and distribution  rights
for   the   COI  Businessflow  product  range   in   all
territories  excepting  Germany, Austria and Switzerland.
Under  this agreement, Cedardata Plc has the rights  both
to  retail  COI  Businessflow products directly  and  to
appoint  resellers.  In consideration  of  these  rights,
Cedardata  Plc has committed to advance royalty  payments
of  #500,000  within  the terms  of  the  agreement.  The
agreement  has no fixed term, provided that agreed  sales
targets are met.

COI  Businessflow is a Document and Workflow  Management
product. It was developed as an in-house solution by  COI
GmbH  for  its  parent company INA GmbH, a multi-national
supplier  of industrial roller bearings. The product  has
been successfully marketed by COI GmbH in Germany to  the
INA  customer base who number over 200, including Daimler
Benz and Opel.

The   "Document  Management"  element  of   the   product
facilitates  the  elimination  of  paper  from   business
processes   providing  for  the  organisation,  transfer,
retrieval   and  administration  of  all  documents   and
information elements held within it. This coupled with  a
"Workflow  Management" capability, enables its  users  to
establish  a business wide system for the automation  and
control of business processes.

Further  key  benefits  are that  the  COI  Businessflow
product  fits  seamlessly  into the  customer's  existing
software  infrastructure.   A  number  of  technical  and
commercial application packages and proprietary  software
tools  have  already been integrated into  it,  including
SAP.

     builds  on  the core business management application
     skills of Cedardata's existing business and provides
     the  integration mechanism between it and  the  call
     centre   focused  application  acquisitions  already
     announced.
     
     It will also allow our existing customers to further
     extend   the   business   benefits   derived    from
     streamlining  their  business  processes   utilising
     Cedardata products and services."
