   Extraordinary General Meeting under Section 142 of the Companies Act 1985



Following a review of the Company's investments the Directors believe that the
net assets of the Company have fallen to less than half of its called up share
capital.  Section 142 of the Companies Act 1985 provides that the directors
must, in such circumstances, convene an extraordinary general meeting to
consider whether any, and if so what, steps should be taken to deal with the
situation.  Formal notice of the meeting, to be held at Cedar's offices at
9.30am on 11 March 2002, is being posted to shareholders.



The directors are in the process of considering the steps available to the
Company to deal with this situation and intend to report to shareholders on
these at the extraordinary general meeting.
